Rabobank Legal, Capital Markets & Treasury Team (CMT) is looking for a:
Jurist / Legal Counsel
Utrecht, 36 hours
Together with the other members of the CMT team, you provide legal advice up to management level to, amongst others, the following Rabobank business lines: Treasury, (Structured) Debt Capital Markets, Equity Capital Markets, Asset Based Finance, Portfolio Management, Corporate Financial Advisory, including M&A, and Private Equity. Your focus will at first be on debt capital markets, regulatory capital and portfolio management.
In this position you are involved in the review/drafting and negotiating of transaction documents such as term sheets, prospectuses, subscription agreements, receivable purchase agreements, engagement agreements, share purchase agreements and legal opinions. You assist in transaction structuring and transaction process (from pitch to closing), including coordinating with external legal counsel, and at times you are closely involved in pending/threatening litigation. In addition to working on (international) transactions, you monitor relevant legislation and legal developments and you contribute to internal know-how meetings. In your position as Legal Counsel, you aim to minimize legal and reputational risks and contribute to an outstanding commercial result of Rabobank. You work closely together with Risk, Compliance and Finance & Control, and you maintain various internal and external contacts in this area of expertise.
As Legal Counsel you are regarded as a legal specialist in a wide range of capital markets transactions, from medium term notes to commercial paper and capital securities, and from securitisations to private placements and initial public offerings. Legal advice relates both to funding business of Rabobank and to transactions with financial institutions or corporate clients of the bank. The vacant position is a job in a position for any lawyer interested in legal documentation and financial markets, especially in respect of treasury, capital markets and portfolio management. Knowledge of contracts law and financial law is required. Any experience with equity or debt capital markets, treasury transactions, regulatory capital knowledge, securitizations, corporate law and/or mergers & acquisitions is considered an advantage.
The CMT team is one of three teams within Legal Wholesale Rural & Retail (WRR), in turn being one of three departments together constituting Rabobank Legal. The other teams are Lending and Secondary Markets & Network Team (SMNT). Legal WRR consists of about 55 employees in total. Legal CMT consists of 16 people, of whom 1 team leader, 12 in-house counsel and 3 legal assistants.
• A university (WO) master’s law degree in Dutch law
• At least 3-5 years of relevant work experience, preferably as attorney (advocaat) and/or in-house legal counsel
• Legal experience in contract, financial (regulatory), and/or corporate law
Proficient in the Dutch and English language, both verbally and in writing
• A team player with an international, down to earth, pragmatic, result-driven and pro-active attitude with project management, customer focus and social skills
• Any knowledge of capital markets, treasury transactions, market abuse, mergers & acquisitions, regulatory capital, and especially in the field of portfolio management and bank capital transactions, is considered an advantage
